Yusen Logistics Co., Ltd. (the "Company") strives to disclose information and engage in IR activities in a timely, accurate and fair manner based on the following policy. In doing so, the Company seeks to maintain sound and dynamic business activities and management transparency based on its Group philosophy, and to earn the trust and understanding of its shareholders and investors.
Disclosure Standards
The Company conducts timely disclosure in accordance with the "Rules on Timely Disclosure of Corporate Information by Issuer of Listed Securities and the Like" set out by the Tokyo Stock Exchange (the "Timely Disclosure Rules"). The Company also actively discloses types of information the disclosure of which is not required under the Timely Disclosure Rules using an appropriate method when it judges that the information aids in shareholder and investor understanding. The Company tries to provide information that does not fall under the scope of the Timely Disclosure Rules in an active and fair manner through suitable media, including its own website.
Disclosure Methods
The Company shall disclose the types of information that fall under the scope of the Timely Disclosure Rules through the timely disclosed information dissemination system operated by the Tokyo Stock Exchange (TDnet) in compliance with the Rules. The Company tries to make information published through TDnet immediately available on its own website.
The Company will make arrangements to ensure that accurate, fair and easily comprehensible information is communicated to shareholders and investors by adopting appropriate methods, including press releases distributed to news organizations, and publication on its own website, even when the information does not fall under the scope of the Timely Disclosure Rules.
Enhancement of Corporate Communications
In addition to disclosing information in accordance with the Timely Disclosure Rules established by the Tokyo Stock Exchange, the Company will produce IR tools of various types and publish them on its own website to explain its business environment, business strategies and financial position in a way that is easy to understand. The Company will also take steps to ensure interactive communications with shareholders and investors, for example by organizing briefings for institutional and individual investors, undertaking questionnaires and providing answers to inquiries received via its website.
Quiet Period
To prevent the unauthorized disclosure of information that may affect the share price of the Company and to ensure fairness during the period in which the Company is preparing to announce its earnings, the Company will observe a quiet period from the 25th day of the month in which an accounting period closes to the date of the earnings announcement, and will refrain from making comments and answering questions about its account settlement during this period. However, the Company shall disclose relevant information in accordance with the Timely Disclosure Rules when a major change in published earnings forecasts becomes possible during the Quiet Period. The Company will also respond to questions, confirmations and other inquiries when the response is limited to revealing information already published by the Company.
Investment Decisions
The purpose of information disclosed by the Company (including information posted on its website) is to give readers reference information that helps them understand the Company and make investments. Such information is not designed to solicit share purchases, share sales or other transactions. The Company requests readers to make final decisions about investment based on their own judgment.
